1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Radu Popa ("Company," "we," "us," or "our") governing your access to and use of the Stocked mobile application ("App," "Service").

By downloading, installing, or using the App, you confirm that you are at least 16 years of age and that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not use the App.

These Terms incorporate and supersede any prior agreements between you and the Company with respect to the App.

2. End User License Agreement (EULA)

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use one copy of the App on a mobile device that you own or control, solely for your personal, non-commercial household management purposes.

The Company and its licensors retain all intellectual property rights in and to the App. These Terms do not grant you any rights to the Company's trademarks, logos, or service marks. This license is effective until terminated by you or the Company. The Company may terminate this license at any time if you fail to comply with any provision of these Terms.

3. Apple App Store & Google Play Additional Terms

If you download the App via the Apple App Store, these Terms are entered into between you and the Company only, and not with Apple Inc. Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. Apple is not responsible for any product warranties. Apple is not responsible for addressing any claims you or any third party may have relating to the App. In the event of a third-party intellectual property claim, Apple is not responsible for the investigation, defense, settlement, or discharge of such claim. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

If you download the App via Google Play, you acknowledge that these Terms are between you and the Company only, and that Google LLC is not a party to these Terms. Google has no obligation or liability to you with respect to the App.

4. Subscriptions, Free Trial & Billing

4.1 Subscription Plans

Stocked is offered on a freemium basis. The App offers optional paid subscription plans ("Subscription") that unlock premium features beyond those available under the free tier. Subscriptions are available on a monthly or yearly basis, as well as a one-time "Lifetime" purchase option.

4.2 Platform Billing

All payments, subscription purchases, renewals, upgrades, downgrades, cancellations, and refund requests are processed exclusively through Apple App Store Billing (for iOS users) or Google Play Billing (for Android users) (collectively, "Platform Billing"). The Company does not directly collect, store, or process your payment card information. Your billing relationship is solely with Apple Inc. or Google LLC, as applicable, and is governed by their respective terms of service and privacy policies.

4.3 Subscription Renewal

Monthly and yearly Subscriptions automatically renew at the end of each billing period unless canceled. Your Platform Billing account will be charged for renewal within 24 hours prior to the end of the current billing period, at the same price as the original purchase unless otherwise notified.

4.4 Free Trial

Where offered, a 1-month free trial ("Free Trial") may be available to new subscribers. The Free Trial period begins on the date you initiate it. Your Platform Billing account will be charged the applicable Subscription price automatically upon expiration of the Free Trial period unless you cancel at least 24 hours before the Free Trial expires. You may only use a Free Trial once. Any unused portion of a Free Trial is forfeited upon purchase of a Subscription.

4.5 Cancellation

You may cancel your Subscription at any time through your Apple App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period; you will retain access to premium features until that date. The Company does not issue refunds for unused portions of a billing period except where required by applicable law or Platform Billing policies.

4.6 Lifetime Purchase

The "Lifetime" purchase option grants you permanent access to the premium feature set available at the time of purchase, subject to these Terms, the continued availability of the App, and the policies of the applicable Platform Billing provider. "Lifetime" refers to the commercially reasonable lifetime of the App as operated by the Company and does not guarantee access in perpetuity if the App is discontinued. For the purposes of this Agreement, "Lifetime" is explicitly defined as a period of no less than 12 months from the date of purchase, after which the license is deemed fully fulfilled regardless of any subsequent termination or discontinuation of the Service.

4.7 Price Changes

The Company reserves the right to modify Subscription prices at any time. Price changes will take effect at the start of the next billing period following notice to you via the App or the applicable platform storefront.

5. Account Tiers & Feature Limitations

The App enforces the following structural limits based on your account tier. These limits are a core feature of the free tier and are not errors or defects.

5.2 Graceful Downgrade

If a previously paid user's account is downgraded to the free tier and their existing data exceeds free-tier limits, excess households and products are placed into a frozen, read-only state rather than deleted. Frozen content may be deleted but not modified until the limit is no longer exceeded or the account is upgraded.

5.3 Guest Member Freeze

Guests invited to a household owned by a free-tier user are subject to the same product limits as the household owner. Products in excess of the free-tier limit within that household will appear in a frozen, read-only state for all members.

5.4 Premium Tier

Paid subscribers enjoy increased or unlimited household slots, product capacity, and access to additional features as described in the App at the time of subscription. Note that the universal structural limit of 3 (three) members per household workspace (Section 5.1) remains active across all tiers to ensure database synchronization performance. The Company reserves the right to modify the specific features included in each tier upon reasonable notice.

6. User Accounts & Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at contact.stocked@gmail.com if you suspect any unauthorized use of your account.

You agree to provide accurate, current, and complete information when creating your account and to update such information to keep it accurate and current.

The App allows you to input, upload, and store content such as household names, product names, and display names ("User Content"). You retain ownership of your User Content. By using the App, you grant the Company a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely as necessary to provide the Service to you.

You represent and warrant that you own or have the necessary rights to all User Content you submit, and that your User Content does not infringe the intellectual property or other rights of any third party.

9. Third-Party Services

The App integrates with Firebase (Google LLC) for backend data storage, authentication, and real-time synchronization. Your use of the App is also subject to Google's Terms of Service and Privacy Policy. The Company is not responsible for the acts or omissions of any third-party service provider.

The App may display third-party advertisements. Free-tier users may be served App Open Ads upon application launch. Advertising is governed by the applicable ad network's terms and privacy policy.

10. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

THE COMPANY DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED THROUGH THE APP.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE APP EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €100 EUR.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the App, your User Content, or your violation of these Terms.

13. Termination

The Company may suspend or terminate your access to the App at any time, with or without notice, for any reason, including if you breach these Terms. Upon termination, the license granted under these Terms will immediately cease. Sections 8–15 shall survive any termination.

You may terminate your account at any time through the Account screen within the App.

14. Changes to These Terms

The Company reserves the right to modify these Terms at any time. Material changes will be communicated to you via in-app notification or a prominent notice within the App. Continued use of the App after any changes constitutes your acceptance of the updated Terms.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of Romania.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence under applicable EU consumer protection law.
